Terms of Service for Maple Leaf Garden Services Ltd.

1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) govern the provision of garden and landscaping services by Maple Leaf Garden Services Ltd., having its principal office at 2450 Don Reid Drive, Suite 305, Ottawa, ON K1H 1E1, Canada (“Maple Leaf Garden Services Ltd.”, “we”, “us”, or “our”), to customers, clients, property owners, tenants, and any other persons or entities who request, authorize, or receive our services (“you” or “Client”).

By requesting, booking, authorizing, or accepting any services from Maple Leaf Garden Services Ltd., you acknowledge that you have read, understood, and agree to be bound by these Terms, as amended from time to time. If you do not agree to these Terms, you must not use or accept our services.

These Terms apply to all quotations, service agreements, work orders, estimates, invoices, and related service arrangements, unless we expressly agree otherwise in writing.

2. Scope of Services

Maple Leaf Garden Services Ltd. provides garden and outdoor property maintenance services, which may include, without limitation:

  • Lawn mowing and edging;
  • Garden bed design and planting;
  • Seasonal cleanup and leaf removal;
  • Shrub and hedge trimming;
  • Mulching and soil amendment;
  • Irrigation system checks; and
  • Weed control and garden maintenance.

The exact scope, frequency, timing, materials, and pricing of services will be set out in a quote, estimate, proposal, work order, or other written confirmation issued by Maple Leaf Garden Services Ltd. In the event of a conflict between those documents and these Terms, the specific written service agreement will prevail to the extent of the conflict.

We may, at our discretion, decline any request, suspend work, or recommend adjustments where site conditions, weather, safety concerns, or legal restrictions make performance impractical or unsafe.

3. User Obligations and Responsibilities

You agree to:

  • Provide accurate, complete, and current information relevant to the services requested;
  • Ensure that you have the legal right, authority, or permission to request services on the property;
  • Disclose known hazards, including buried lines, irrigation components, unstable ground, bee/wasp nests, pet issues, chemicals, or restricted areas;
  • Secure pets, children, valuables, fragile items, and any personal property that may be affected by service work;
  • Obtain all required permits, approvals, consents, and permissions, unless expressly agreed otherwise in writing;
  • Maintain the property in a condition reasonably suitable for service delivery, including safe access to work areas;
  • Not request or require Maple Leaf Garden Services Ltd. to perform any unlawful, unsafe, or environmentally prohibited activity;
  • Inspect completed work promptly and notify us of any concerns within a reasonable time; and
  • Pay all amounts due in accordance with these Terms and any applicable service agreement.

You acknowledge that garden and landscaping work may involve natural variation in results due to weather, soil conditions, plant health, seasonal changes, and other environmental factors beyond our control.

4. Payment Terms and Conditions

Fees, if applicable, will be set out in the relevant estimate, invoice, or service agreement. All amounts are stated in Canadian dollars unless otherwise indicated.

  • Invoices are payable by the due date stated on the invoice, or if no date is stated, within 15 days of issuance;
  • We may require deposits, prepayment, or milestone payments for certain projects or recurring services;
  • Late payments may result in service suspension, collection action, and interest at the maximum rate permitted by applicable law, if any;
  • You are responsible for any fees charged by your financial institution, including NSF, chargeback, or payment reversal fees;
  • Quoted prices may change if the actual site conditions, scope, materials, or client instructions differ from the information originally provided.

Unless expressly stated otherwise, taxes, including applicable federal and provincial taxes, are additional to quoted service fees.

If you dispute an invoice, you must notify Maple Leaf Garden Services Ltd. in writing before the invoice due date, identifying the amount in dispute and the reasons for the dispute. You must pay any undisputed portion on time.

5. Cancellation and Refund Policy

Cancellations or rescheduling requests must be made with reasonable notice. Unless otherwise specified in a service agreement:

  • Recurring services may be cancelled with at least 7 days’ written notice;
  • One-time services or scheduled visits may require at least 48 hours’ notice;
  • If you cancel after materials have been ordered, labour has been scheduled, or preparations have begun, you may be charged for costs incurred;
  • Same-day cancellations or missed appointments may be subject to a cancellation fee.

Refunds, if any, are issued at our reasonable discretion and only where services were not performed or were materially deficient due to our fault. No refund is available for completed services that conform to the agreed scope, or where dissatisfaction arises from circumstances beyond our control, including weather, drought, plant disease, pest infestation, or pre-existing site conditions.

If plant material, mulch, soil amendments, or other goods are supplied, any applicable return, replacement, or warranty rights will be limited to the extent permitted by the supplier’s terms and applicable law.

6. Liability Limitations

To the fullest extent permitted by applicable law, Maple Leaf Garden Services Ltd. shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of enjoyment, loss of use, loss of profits, loss of business, or loss of property value arising from or related to the services.

Without limiting the foregoing, Maple Leaf Garden Services Ltd. is not responsible for:

  • Damage caused by hidden defects, buried utilities, undocumented irrigation systems, unstable structures, or undisclosed hazards;
  • Pre-existing damage, wear and tear, disease, pests, weather events, natural deterioration, or acts of third parties;
  • Delays or inability to perform caused by weather, supply shortages, access restrictions, or client failures;
  • Client instructions that are incomplete, inaccurate, or contrary to our recommendations;
  • Damage resulting from the failure of plants, turf, or irrigation systems due to factors outside our control.

Where liability cannot be excluded by law, the total aggregate liability of Maple Leaf Garden Services Ltd. for any claim arising out of or relating to the services shall be limited to the amount paid by you to Maple Leaf Garden Services Ltd. for the specific service giving rise to the claim during the three (3) months preceding the event that gave rise to the claim, or the minimum amount permitted by law, whichever is greater.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable Canadian law, including liability for gross negligence, wilful misconduct, or personal injury where such limitation is prohibited by law.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all intellectual property rights in our business methods, service descriptions, templates, estimates, designs, written materials, photographs, reports, and other deliverables created by Maple Leaf Garden Services Ltd. remain our property until all amounts due are paid in full, to the extent permitted by law.

Upon full payment, you are granted a non-exclusive, non-transferable licence to use the deliverables we prepare specifically for your property for your personal or internal business use related to that property, subject to any third-party rights and applicable law.

You may not copy, distribute, modify, publish, or use our branding, logos, written content, or photographs without our prior written consent, except as permitted by law.

You grant Maple Leaf Garden Services Ltd. a limited right to take and use photographs of the work site, before and after images, and related service documentation for operational, quality control, insurance, training, and marketing purposes, provided that any personally identifying information will be handled in accordance with applicable privacy laws and our privacy practices.

8. Data Protection and Privacy

Maple Leaf Garden Services Ltd. collects, uses, and discloses personal information only as reasonably necessary to provide services, process payments, manage customer relationships, comply with legal obligations, and improve our operations. We handle personal information in accordance with applicable Canadian privacy laws, which may include the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial legislation.

Personal information may include your name, address, contact details, service preferences, property access information, billing information, and communications with us. We may share personal information with service providers, payment processors, insurers, legal advisors, and other third parties where necessary for the purposes described above or as required by law.

You are responsible for ensuring that any personal information you provide about third parties is shared lawfully and with any required consent. We take reasonable administrative, technical, and physical safeguards to protect personal information, but no method of transmission or storage is completely secure.

By using our services, you consent to our collection, use, and disclosure of personal information in accordance with this section and any privacy notice we may provide from time to time. You may request access to or correction of your personal information by contacting us using the details below, subject to legal exceptions.

9. Force Majeure

Maple Leaf Garden Services Ltd. shall not be liable for any delay, failure, or interruption in performance caused by events beyond our reasonable control, including but not limited to severe weather, flooding, fire, acts of God, labour disputes, pandemics, supply chain disruptions, utility failures, accidents, government orders, war, terrorism, civil unrest, or access restrictions.

In the event of force majeure, we may reschedule services, suspend performance, or modify the scope of services as reasonably necessary.

10. Changes to Terms

Maple Leaf Garden Services Ltd. may update or revise these Terms at any time. The revised Terms will be effective upon posting, delivery, or other notice to you, unless a later effective date is stated.

Your continued use of our services after the effective date of revised Terms constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using our services and, if applicable, terminate any recurring service arrangement in accordance with these Terms.

11. Applicable Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You irrevocably submit to the exclusive jurisdiction of the courts located in Ottawa, Ontario, for any dispute arising out of or relating to these Terms or the services, except where applicable law requires otherwise or where we elect to seek injunctive or equitable relief in any competent jurisdiction.

13. Severability Clause

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. Where possible, the invalid or unenforceable provision shall be interpreted in a manner that most closely reflects the original intent while remaining enforceable.

These Terms constitute the entire agreement between you and Maple Leaf Garden Services Ltd. regarding the subject matter hereof and supersede any prior or contemporaneous oral or written understandings to the extent not expressly incorporated by reference.
